Financial Data Room
Definition
The subset of the data room containing all financial documents and models. The financial data room is governed by the FFI Standard's data room financial standard. It includes the investor-grade financial model, management accounts, cap table, valuation analysis, use of proceeds, financial summary, and historical financial performance documents, each meeting the currency requirements defined by the Standard.
Common Misapplication
The most common misapplication is treating the financial data room as a static collection assembled at the start of a fundraising process rather than as a continuously maintained set of materials. Documents in the financial data room must be updated on an ongoing basis to meet the currency requirements, not only when a fundraising process begins.
