Data Room Readiness


Definition

The condition in which the financial data room contains all required materials, all materials are current within the periods stated, all materials are internally consistent with each other, and the data room can be shared with a prospective investor within forty-eight hours of a request. Data room readiness is not a pre-fundraise preparation state; under the FFI Standard at Level 3, it is a continuous condition maintained at all times.

Common Misapplication

The most common misapplication is assembling the data room only after a fundraising process has begun. A company that requires three weeks to assemble its data room was not investor ready before the process began, and the assembly period signals this to the investor.
