Issued Share Count
Definition
The number of shares that have been formally issued by the company and are outstanding at the record date. Issued share count excludes unissued shares reserved for future issuance, ungranted option pool reserves, and shares issuable upon conversion of SAFEs or convertible notes. Issued share count is not the correct denominator for calculating ownership percentages in any company that has issued convertible instruments or has an option pool.
Common Misapplication
The most common misapplication is using issued share count as the denominator for ownership percentage calculations instead of fully diluted share count. For a company that has issued SAFEs or options, this overstates the ownership percentage of all existing issued shareholders.
